Wood is recruiting for a Senior Assistant Company Secretary, Subsidiary Governance to join our Corporate Secretariat team on a permanent basis. The Role
We are looking for a forward thinking, engaging individual with excellent attention to detail and stakeholder management with the ability to oversee the corporate compliance of c.350 entities across the EMEA and APAC regions.
The role will line manage a team of 3 – 4 Subsidiary Governance Associates where you will support their personal and professional development, you should be able to effectively engage a wide range of stakeholders at all levels across the business and Group Functions. This role is expected to make autonomous decisions relating to subsidiary compliance and governance matters in their area of responsibility and within legislative frameworks and company policy, seeking support from and escalating matters to the HCG as necessary.

- Oversight of Outsourced Service Providers (OSPs) and supporting the HCG to improve the efficiency and effectiveness of Wood’s OSP-model for corporate compliance
- Oversight of Wood’s Entity Management Platform, including transition and transformation activities
- Providing planning and execution support on corporate restructuring, refinancing and simplification projects
The Senior Assistant CoSec will also support the HCG in the design, implementation and operation of Wood’s Entity Governance & Compliance Framework (EGCF), which will require:
- Establishing and overseeing an effective assurance framework for the EGCF
- Engagement with key business and functional stakeholders to establish an entity-focussed mentality across the organisation
- Design and roll-out of an effective training programme to subsidiary Directors
- Refinement and oversight of key governance policies and procedures on matters such as delegations of authority and PoAs, document execution, granting of parent company guarantees etc
- Enhancing the governance of operating entities, including implementation of corporate change and board support protocols

Expected:
- Associate of the Charter Governance Institute (ACG), Chartered Secretary or other equivalent
- Experience working with multinational group structures and delivering/overseeing global entity compliance
- Ability to advise on the design of group governance standards and implementation on a global basis
- Strong stakeholder engagement skills, with ability to work in co-operation and business partnership across different jurisdictions and functional disciplines
- Ability to influence and challenge current thinking through clear, informed, and logical argument and discussion
- Demonstrate a commitment to continuous learning and development, technical excellence
- Ability to communicate, build relationships, trust, and rapport with leadership and management
- Experience with functional operating models, key processes, reporting structures, and legal entity structure
- Ability to manage and deliver change (including technology change) effectively and alongside BAU priorities
- Consideration will be given to qualified solicitors or accountants with relevant company secretarial and governance experience
